By submitting your design, you are agreeing to the following terms, which serve as a binding agreement between you and BlackEyedT.com, a GoFish4Life, LLC company.

By submitting a design to BlackeyedT.com tee shirt design competition, the designer acknowledges that they have read and hereby agree to the following binding terms and conditions. This is a legally binding contract and license agreement and BlackeyedT.com strongly suggests that each designer carefully read this contract every time you make a submission and print or save this contract for their records:

In exchange for valuable and sufficient consideration, the receipt of which is hereby acknowledged, the person submitting a design for consideration by BlackeyedT.com (hereinafter known as Designer) understands all submitted designs become temporary property of BlackEyedT.com for a period of 120 days from the date of submission. If the Design is chosen to be printed within the 120 day period, BlackeyedT.com then retains permanent exclusive rights to that design for commercial use, including reproducing the design or any parts, alterations or derivatives thereof, in any media or embodiment; publicly display, perform or exhibit, or distribute the Design or any parts, alterations or derivatives thereof, in any media or embodiment.

If a design is not chosen to be printed within the 120 day period, the participant may assume full rights to their design by contacting BlackeyedT.com via email at info@BlackeyedT.com and electing to have their design removed from the BlackeyedT.com archives.

Designer hereby represents and warrant to BlackEyedT.com that by submitting a design, the design, including all images, slogans and phrases are their original design, free and clear of any encumbrances or liens and is not subject to any third party agreements or arrangements; that no other party has any claim or right to this design or any portion thereof by trademark, copyright, logo, design right, privacy or other personal or proprietary right(s) or for any other reason whatsoever. Designer further represents that this design has not previously been published.  You hold BlackEyeT.com harmless and shall indemnify BlackEyedT.com for all costs and expenses (including reasonable attorney fee’s) in the event of a breach of any of the foregoing warranties or representations.

BlackeyedT.com reserves the right to reject any submission that it deems in its sole discretion to be vulgar, profane, offensive, inappropriate, pose possible legal liabilities, or is inconsistent with the letter or spirit of BlackeyedT.com policies, including poor design.

The winning Designers will receive $500 (us dollars) and $100 store credit.  For Each 1000 T shirts sold an additional $500 will be paid to the designer up to a maximum of $2,000.

All designs submitted are previewed by BlackEyedT.com staff to confirm designs qualify for posting into the Voting Page.  We will notify the designer, via email, if their design has been approved for voting.

Selection of designs is based by a combination of design quality, voting results, participant comments, and BlackeyedT.com staff review.

Designs accepted into the BlackeyedT.com t shirt design competition and posted to the website may be removed from the contest and website at anytime prior to voting ending due to poor performance or at the sole discretion of the BlackeyedT.com.

In the event you design is chosen you will need to sign and return a release form prior claiming your payment. Payment is distributed to the designer within 14 days from the time final artwork and release is received. Payments are paid via Pay pal account or check. BlackeyedT.com is not responsible for any taxes, fees, charges or duties. Each designer who is paid over $600 by BlackEyedT.com will receive a 1099. tax form. Designer agrees that they will indemnify, defend and hold harmless TheBlackeyedT.com, GoFish4life, LLC its successors and assigns, and any officers, agents, or employees thereof from any liability resulting from the exercise of the rights herein granted. Designer represents that he or she is over the age of eighteen (18), of sound mind and fully capable of entering into a legally binding contract.

Designer acknowledges and agrees that the laws of the State of Connecticut shall govern this agreement notwithstanding the fact that you may be domiciled in a different state or country.

Designs may be modified in any way whatsoever and may be used as permitted by this agreement.

BlackEyedT.com may freely assign this agreement, in whole or part.  You may not assign this Agreement, in whole or in part without prior written approval of BlackEyeT.com.

This agreement contains the entire understanding between you and BlackEyedT.com and supercedes all prior agreements or understandings.  This agreement shall not be modified except in writing.

If any part, term or provision of this Agreement shall be held illegal, unenforceable or in conflict with any governing laws having jurisdiction over this Agreement, the validity of the remaining portions or provisions shall not be affected thereby.

A failure of either party to exercise any right provided for herein shall not be deemed to be a waiver of any right hereunder.

Nothing herein shall be construed to as an obligation of BlackEyedT.com to manufacture any quantity of product containing the design.  All manufacturing and marketing decisions regarding the design are left to the sole discretion of BlackEyedT.com.
